This is a binding agreement between ReplayCast( "replaycast.io") (“we”, “our”, “us”) and you as an individual and, if applicable, the company or other legal entity you represent (collectively, "you" ).
The following Affiliate Terms of Service ("Affiliate Terms") govern your access and use of our affiliate program located at https://users.replaycast.io/affiliates including any functionality, content, links and coupons offered on or through it (collectively, "Affiliate Program").
In addition, By accessing or using the Affiliate Program, the Site or the Services in any manner, you agree that you have read and agree to be bound by and a party to the Terms and Conditions and our Privacy Policy(collectively with the Affiliate Terms of service, “Agreements”). You acknowledge that you have read and understood the Agreements, and agree to be bound of them.
Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages.
If you are entering into the Agreements on behalf of a company or other legal entity, you confirm that you have the legal authority to bind the legal entity to these Agreements. If you do not have such authority, you may not use the Site or any content, functionality, or Services offered on or through the Site.
Any actions undertaken by you or any third-party that represents you will be deemed to have been taken by you.
If you do not agree with (or cannot comply with Agreements, then you may not use the Site, the Affiliate program, or any content, functionality, or Services offered on or through the Site.
1. Definitions
SITE means the replaycast.io website and any services operated by replaycast.io .
SERVICE(S) means any services operated by replaycast.io.
USER means any real life person.
2. Enrollment
To join our Affiliate program, first you need to register as a user (link), verify your email, then go to https://users.replaycast.io/affiliates and follow instructions to join.
We may or may not require you to submit information on how you intend to promote our Site and/or Services, your website, video channel or stream channel, your personal details or other information.
We reserve the right to cancel your Affiliate application and/or Affiliate Account and suspend/cancel current and future Commissions for any reason or no reason at all at any time, and without any liability.
2. Website links and Coupons
2.1 Once accepted, you can use the available graphic and textual links, and/or other materials(videos, HTML code, etc.) that are offered to you via the Affiliate Program (collectively, "Links"). In addition, coupon codes that are exclusive to your Affiliate account may be available ("Coupons"). Please contact us at to have your coupon created.
2.2 You may create Links in the Affiliate Program, however, you are not allowed to use any, trademarks, names of persons or entities that you do not legally represent, or other words that are deemed inappropriate by us, in the Links. We reserve the right to change or remove any of the Links at any time, without liability, and cancel any current and future Commissions/Payments connected with the removed Links. At any time we may remove the ability for You to create Links with your own text.
2.3 You may not use graphic files you created or modified to link to our Site.
2.4 You may display the Links on your own channel, stream or videos, your own websites or websites controlled by you, (collectively, "Media"). Links may redirect the User or visitor to the front page or different parts of the Site. All links need to have the attribute of "no-follow" or "sponsored".
2.5 At any time we may change or stop offering the Links or Coupons to You. Any requested changes or request for removal of the Links or Coupons needs to be promptly carried out by You.
2.6 When a User clicks and follows the Links to our Site, a tracking cookie is placed on that user's mobile device or computer that will be used to identify that User as being referred by your Affiliate account. The tracking cookie expiration date is 30 days from the cookie placement date.
2.7 If the tracking cookie is deleted, changed, or not sent to our servers, or the User uses other computer/device, then the User will not be attributed to your Affiliate Account and any purchases by the User will not generate Commissions.
2.8 The current policy for tracking cookies is "last click". This means the and the user's purchases will be attributed to the Affiliate account whose Links were used last (e.g the user clicks on a Link from Affiliate #1, visits our Site and decides not to register an account, and then visits another website or channel and clicks on a Link from Affiliate #2, the user will be attributed to Affiliate #2 when the user registers for an account or makes a purchase on our Site.
If the User uses other coupons then the User may not get attributed to your Affiliate account.
2.9 We have the right, but not the obligation, to monitor the Links or Coupons, however you have the sole responsibility for the development, operation, and maintenance of, the content on your Media;
2. Actions
2.2 Qualified Actions may attribute the User to your affiliate account, except if the User has not already been attributed to other Affiliate account, or the User have already registered without using any of your Affiliate links. In cases where the User uses a coupon code that was created exclusively for your Affiliate Account, your Affiliate Account may be attributed for the purchase the user made and/or the user attributed to your Affiliate Account, but only in the case where such purchase by the User is the User's first ever, the purchase was made within timeframe determined by us, and the User has not already been attributed to other Affiliate account.
2.3 Any actions that do not satisfy the conditions in these terms will not be considered Qualified Actions. Such actions include, but are not limited to:
2.4 Any actions, including but not limited to, fraudulent, illegal, defamatory, spammy or inappropriate actions will not be considered as Qualified Actions, will not generate Commission(s) and may result in termination of your Affiliate account and cancellation of any current and future Commissions.
2.5 In any case we have the final say whether an action is Qualified or not, and whether or not a Commision will be generated.
3. Commissions
3.1 Qualified Actions may generate Commissions and/or attribute the User and/or the purchase the User made to your Affiliate account.
3.2 Commissions may be generated for New and/or Repeat User Purchases from the Users that are attributed to your Affiliate account.
3.2.1 New Purchase is the User's first ever Purchase.
3.2.2 Repeat Purchases are additional Purchases after the first Purchase for any Services or Units offered on ReplayCast.
3.3 The Commission amount is a percentage of the Purchase amount the user made after all payment processing fees, expenses, user taxes, and discounts are deducted from the Purchase amount ("Net Purchase Amount").
3.5 We reserve the right to change the Commision structure and percentages at any time, in our sole discretion, and without any liability.
3.6 Commissions may also be generated for Sub-Affiliate Commissions. Sub-Affiliates are Users that are attributed to your Affiliate account, have joined the Affiliate program, and are in good standing (as determined by us). Sub-Affiliates generate their own Commissions when they promote our Site/Services according to the Affiliate terms here. The Commission amount for such Commissions is 20% of the Sub-Affiliate Commission amount.
3.7 Net Purchase amounts under 0.20 EUR (twenty Euro cents) or Sub-Affiliate Commissions under 0.20 EUR (twenty Euro cents) do not qualify for Commission.
3.8 For high-performing affiliates bonuses may be available in the form of higher Commission percentage, determined by us.
3.9 Any chargebacks, refunds or cancellations made by the User will reverse the Commission, and remove the Commision amount from your current or future Commision payment.
3.10 All Commissions are in EUR. The payout can be in different currency, please refer to Section for Payment of Commissions.
4. Payment of Commissions
4.1 Payment of any Commissions will be done after the sum of the Commissions ("Commission Balance") in your Affiliate account is greater than hundred Euros (€100) and your Affiliate account is in good standing (as determined by us). Payment will be via PayPal. Wire transfer is available only for Commission Balances over one thousand euros (€ 1000). Payments can be done in USD or other currencies by converting EUR to other currency on the date of the Commission payment, with the conversion rate as determined at the time of the payment of your Commissions. Any and all costs, currency conversion fees, expenses and other fees related to the payment of Commissions will be deducted from the total Commission Payment. There will be no liability on our side for Commissions due to incorrect payment details provided by You. We may nullify any and all Commissions if you did not provide correct payment details within 1 year of the generated Commission(s)'s date.
4.2 Commissions will be paid only for Affiliate accounts in good standing (determined by us in our sole discretion), accounts that are not in breach of these terms and only for Qualified Actions that remained in compliance with the Affiliate Terms for the entire period for which the Commissions are paid up to and including the payment date. We reserve the right to review your Affiliate account before making payment.
4.3 We reserve the right to charge back to your Affiliate account any and all previous payments for Commissions that are later determined by ReplayCast to be in breach of these terms or the Commissions have not met the requirements of Qualified Action. We reserve the right to request back any payment we have already sent to you for such Commissions.
4.4 Commissions, Pending payments and Commission Balances are not deposits and do not accrue interest.
4.5 Transfer (payment) of the Commissions generated by you will be done once a month for Commissions generated 45 days before the payment date. We reserve the right to postpone the payment of the Commissions indefinitely without liability, and no interest will be accrued for any pending payments.
4.6 All calculated Commissions are final. In case you want to dispute the Commission calculations (e.g you think there was an error in the calculations) you must notify us in writing with sufficient detail within 15 days after the relevant commissions are generated, however, we have the final say on the calculated amount of Commissions.
4.7 If users decide to request refund, cancellation or chargeback the respective amount will be removed from your Commission Balance or from your current or future Commissions. If the relevant Commission(s) have already been paid to you, the respective amount will be deducted from the next Commission payment. We reserve the right to request back any payment we have already sent to you for such Commissions.
4.8 You may receive payments for Commissions only if we have received payments from the Users. You have no right to Commissions, including but not limited to, for free accounts or free services or free features, free units, for gifts, for purchases where we have not received payments or the user cancelled the payment, the payment was refunded, for chargebacks, etc.
4.9 All tracking of Links, Users, Commissions calculations and counting, Qualified Actions shall be made by us in our sole discretion according to our technology. If you or others are also tracking Links, Qualified Actions, Users, or Commissions, our tracking results shall always prevail.
4.10 We may suspend and/or terminate your Affiliate account if a certain number (determined by us) of chargebacks, cancellations or refunds is reached or exceeded from the Users you referred.
4.11 If we suspect fraudulent or deceitful activity, or violation of the Agreements and/or applicable law, we reserve the right to suspend or terminate your account without any liability. In any case, an investigation may be launched that may involve third parties. We reserve the right, in our sole discretion, to inform the appropriate regulatory authorities or law enforcement or any third parties of any actual or alleged breach of law and/or fraud performed by you (whether or not it is connected to the Agreements)
4.12 Any outstanding balances for the Services that are on our Aite whether or not related to the Affiliate program may offset against Commission Balance or any current and future Commissions or Commission Payments.
4.13 If you have not generated Commissions on New Purchases within six(6) months period, we may terminate your Affiliate Account, in our sole discretion, and/or cancel any current or future Commissions or Commission Payments. There will be no liability or financial obligation or other obligations on our part for terminating your Affiliate Account and cancelling your current and future Commissions and/or Commission Payments.
4.14 Commission payments via PayPal can only be done to PayPal account that is your own. The same applies for Wire Transfers, the name of the Bank account must be the same as the name you have submitted to us. At any time, we may request additional personal details before making payment, including but not limited to, proof of address, national id, etc. We may decline the payment if you do not provide us with enough details or the details are incorrect.
5. Your Obligations
5.1 You shall comply with all regulations and laws, the terms of Agreements and any requirements, restrictions and obligations set forth in the Agreements.
5.2 As an Affiliate you shall:
5.2.1 Disclose the commercial relationship between ReplayCast and You. Review and Coupon sites would need to clearly state that they receive compensation from ReplayCast.
5.2.2 Comply with FTC Disclosure for Affiliates.
5.2.3. have sole responsibility for the development, operation, and maintenance of, and all content on or linked to your Media;
5.2.4 Ensure that your content and materials on your Media comply with all the applicable laws and regulations, are not illegal, spammy, deceitful, defamatory or inappropriate, and do not infringe any rights of third parties.
5.2.5 Ensure your content and materials on your Media do not contain, create or link to any material which is threatening, illegal, defamatory, obscene, sexually explicit, harmful, harassing, promotes violence, discrimination (based on, including but not limited to, ethnicity, sex, religion, race or other), contains profanity or other content deemed inappropriate by ReplayCast.
5.2.6 Comply with any applicable laws and regulations and terms and privacy policies of third-party services used by you in connections with the Agreements and the Affiliate Program.
5.2.7 Comply with all applicable data processing laws and information collection and clearly state it on your Media, including information collection and freely given consent from your visitors or end-users about cookies and processing of their information.
5.2.7 Include and make available to your end-users the terms and conditions of any coupons, promotions or other offers, or as required by law regarding such promotions or offers.
5.2.8 Always be truthful and transparent to us about your Affiliate account and in relation of how your promote our Site/Services, and if needed ask questions.
6. Restrictions
6.1. You are not allowed to:
6.1.1 Post any rebates, incentives, rewards, cash back, refunds, credits, promotions or discounts concerning our Site and/or Services in order to entice the user to create an account or make a purchase, unless we have given You prior written permission for each instance. Affiliates can use the coupons or discounts that are exclusively created or available on their Affiliate accounts;
6.1.2 Exchange for other virtual or real goods/items/services, payments of money or payment in kind, etc, or similar in order to entice the User to create an account or make a purchase, unless we have given You prior written permission for each instance;
6.1.3 Use cookie stuffing techniques that set the Affiliate Tracking cookie via websites (e.g: via iframe) or Media or other places without the user themself having clicked on the Links;
6.1.4 Create Media that copies or resembles the look and feel of our Site, without written permissions from us.
6.1.5 Engage in techniques that alter the look, feel and functionality of our Site or Services.
6.1.6 Engage in sending emails. All email campaigns will need a written permission from us before before being started.
6.1.7 Engage in posting Links or Coupons on blogs, forums, email lists, comments sections, game chats, live streams, videos, game clients or other sites or software that is used for social interaction, communication or commenting, unless the topic of discussion is related to the Services or the Site (e.g other user asks "How to record replays and upload them automatically online?", or "Which Replay Service do you use?", etc..). Posting on your own Social Media (e.g your own Facebook Pages or Profile) is allowed, but not on pages, profiles, images, posts or other content that you do not own. Using the Links in forum signatures is allowed. Any posting must not be offensive, inappropriate or spammy and must comply with all the regulations, laws, privacy policies and terms of services of the websites or software where the Links are posted. You must not use automated software, robots or scripts to post comments, or create posts containing your affiliate Links or Coupons.
6.1.8 Use Black Hat techniques: "Black hat" marketing or "Black hat" SEO and other similar techniques including but not limited to doorway pages, keyword stuffing, invisible text, hidden images or pixels.
6.1.9 Use our Brand names in domain names in any way. (e.g replaycastcoupon.com is strictly forbidden, but ReplayCast in url www.yourwebsite.com/replaycast-review is allowed)
6.1.11 Use PPC (pay per click) ads or other ads to promote our Site via your Affiliate Links or Coupons, unless you have written permission from us for each instance.
6.1.12 Use popover or pop-under ads.
6.1.13 Send short-texts with our links or coupons to cell phones.
6.1.14 Use illegal, fraudulent, inappropriate, spammy, defamatory techniques or post the Links or Coupons where it is not allowed or inappropriate.
6.1.15 Use any kind of automated software that posts the Links or Coupons, or posts url links to your Media where you promote our Site/Services.
6.1.16 Make any statements or spread information that have no basis in reality and/or make allegations that damage our reputation or the reputation of our affiliates, employees, directors, principals, officers, partners, customers, users or others.
6.1.17 Make any statements, representations or warranties, regarding ReplayCast, ReplayCast services unless authorized by us in writing.
6.1.18 Place ads regarding ReplayCast and its Services on online auction sites (including but not limited to eBay, etc.)
6.2 Any violation of the Agreements may result in immediate termination of your Affiliate account and other accounts you have and cancellation of current and future Commissions/Payments.
6. Prohibited Activities
6.1 You are prohibited from commiting fraud or violating any applicable laws or regulation, including, but not limited to, illegal acts, falsifying information about you, using any automated software or scripts to increase the number of clicks, Commissions or users, use hidden traffic or click-fraud, doorway pages or cookie-stuffing methods. Any deceptive, fraudulent, spammy or inappropriate practices, as determined by us in our sole discretion, will cause an immediate termination of your Affiliate Account, and cancelling of any current and future Commissions and Commission Payments, with no liability or obligations on our side.
6.2 We may require you to return to us any Commissions that we paid to you in relation to this Affiliate Program if we find that you are doing any illegal, inappropriate, spammy or fraudulent activities.
7. Stats
7.1 Reports of Commissions, Cliks and Users attributed to your affiliate accout, generated through your affiliate links will be available on your affiliate dashboard. The reports are an estimate and can change at any time. We reserve the right to alter the form and content of such reports without notice.
8. Limited license
8.1 ReplayCast grants you a personal, non-transferable, non-assignable, non-sublicensable, non-exclusive, royalty-free, revocable and limited license to use the ReplayCast trademarks ("ReplayCast", "Replay Cast") as stipulated in these Affiliate Terms.
8.2 Ownership. We retain all rights in, title to, interest in, and ownership of (including all intellectual property rights (e.g., all patent, trademark, copyright, trade secret, and other proprietary rights) in and to) all ReplayCast websites, applications, products, and services, all underlying technology and computer programming, videos, images, text, sound and all derivative works of any of the foregoing ("ReplayCast Property").
8.3 No Other Rights. Except for the express rights contained in the Agreement, ReplayCast grants you no other rights or licenses (whether express, implied, by virtue of estoppel or exhaustion, or otherwise) to the ReplayCast Property.
8.4 You may use our trademarks only to the extent required to establish links and according to these terms. You are forbidden from using the trademarks in domains (e.g www.replaycastcoupon.com, www.replaycastreview.com is forbidden) or on a website which could give the impression that it’s operated by us.
9. Disclaimer Of Warranty
THE AFFILIATE PROGRAM IS PROVIDED BY US ON AN “AS IS” AND “AS AVAILABLE” BASIS, "WITH ALL FAULTS". WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE AFFILIATE PROGRAM, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED, POSTED OR CREATED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THE AFFILIATE PROGRAM, ITS CONTENT, AND ANY CONTENT OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.
NEITHER WE NOR ANY PERSON ASSOCIATED WITH US MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE AFFILIATE PROGRAM. WITHOUT LIMITING THE FOREGOING, NEITHER WE NOR ANYONE ASSOCIATED WITH US REPRESENTS OR WARRANTS THAT THE AFFILIATE PROGRAM WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE AFFILIATE PROGRAM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
WE HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
10. Limitation of Liability
EXCEPT AS PROHIBITED BY LAW, YOU WILL HOLD US AND OUR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SUBCONTRACTORS AND AGENTS ("RELATED PARTIES") HARMLESS FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, LOSS OF PROFITS, REVENUES, FINANCIAL LOSSES, DATA OR OTHER LOSSES, HOWEVER IT ARISES (INCLUDING ATTORNEYS’ FEES AND ALL RELATED COSTS AND EXPENSES OF LITIGATION AND ARBITRATION, OR AT TRIAL OR ON APPEAL, IF ANY, WHETHER OR NOT LITIGATION OR ARBITRATION IS INSTITUTED), WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING FROM THIS AGREEMENT AND ANY VIOLATION BY YOU OF ANY FEDERAL, STATE, OR LOCAL LAWS, STATUTES, RULES, OR REGULATIONS, EVEN IF WE HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF US, IT WILL BE LIMITED TO 1 USD, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REPLAYCAST, AND RELATED PARTIES ARE NOT RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REPLAYCAST, AND RELATED PARTIES ARE NOT LIABLE FOR ANY DAMAGES THAT MAY RESULT FROM:
11. Indemnification
11.1 You will indemnify, defend (at ReplayCast's option) and hold ReplayCast, its Affiliates, and Related Parties harmless against any claim, costs, losses, damages, liabilities, judgments, fees (including reasonable fees of attorneys and other professionals), and expenses arising out of or in connection with any claim, action or proceeding (any and all of which are "Claims") by a third party arising out of (i) access to, or any use of the Affiliate Program by you, those acting on your behalf (ii) actual or alleged violation of the Agreements (or any portion thereof) by you, those acting on your behalf, including actual or alleged infringement of any third-party right (including any intellectual property or other proprietary right, confidentiality, privacy right, or right of publicity) by you, those acting on your behalf.
12. Termination
12.1 We may terminate the Affiliate Program to any or all affiliates/users, without prior notice or liability, under our sole discretion at any time, for any reason whatsoever or no reason, and without limitation. We may cancel current or future Commissions and/or Commission Payments (without liability) if the Affiliate Program is terminated or suspended regardless of cause. There will be no liability or financial obligation or other obligations on our part for terminating the Affiliate Program.
12.2 We may terminate or suspend your Affiliate account and bar access to the Affiliate Program and/or Site, without prior notice or liability, under our sole discretion at any time, for any reason whatsoever or no reason, and without limitation, including but not limited to a breach of the Affiliate Terms and/or the Agreements. We may cancel current or future Commissions and/or Commission Payments (without liability) if your Affiliate account is terminated or suspended regardless of cause.There will be no liability or financial obligation or other obligations on our part for terminating your Affiliate Account.
12.3 If you wish to terminate your Affiliate account, stop using the Affiliate program, remove the Links and Coupons from your Media and contact us at .
12.4 Upon termination of your Affiliate Account, you shall immediately cease to use the Links and Coupons, and remove them from your Media.
12.5 All provisions of Affiliate Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
13. Amendments or Changes To Terms
13.1 We may amend the Affiliate Terms at any time by posting the amended or changed terms on this site. It is your responsibility to review these terms periodically. We may post notice of the changed terms on the affiliate dashboard. If you do not agree to the new terms, your only recourse is to terminate this Agreement and your Affiliate account, which may result in cancellation of any current or future Commissions and/or Commission Payments.
13.2 Your continued use of the Affiliate program following the posting of revised/changed Affiliate Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
13.3 Changes may include, but are not limited to, changes in the scope of available Commissions, Commission percentages/amounts, payment procedures, Commission fee payment schedules, how Commissions are generated and other.
14. Your personal/or Company Information
You agree to allow the use of your personal information and/or your company's information, including sharing with a third party, for assessment, prevention and detection of invalid, malicious, fraudulent, or unlawful activity and/or general fraud prevention.
15. Other
No waiver by us of any term or condition set forth in Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of us to assert a right or provision under Terms shall not constitute a waiver of such right or provision.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Affiliate Program and supersede and replace any prior agreements we might have had (written or oral) between us regarding the Affiliate Program.
Nothing in this Agreement is intended to or does create any type of joint venture, creditor-debtor, escrow, partnership or any employer/employee or fiduciary or franchise relationship between you and us.
Subject to any express provisions to the contrary in these terms, you shall have no right or authority to enter into any contract, make any representation, give any warranty, incur any liability, assume any obligation, whether express or implied, of any kind on our behalf or bind us in any way.
